These Terms and Conditions govern the services provided by Jody’s Website and Development to the client. By engaging our services, you agree to the terms outlined below.
1. Scope of Work
The Service Provider agrees to deliver the following:
- Initial consultation to understand client goals
- Project planning and timeline development
- Website design and development using suitable technologies
- Content creation, testing, and deployment
- One year of ongoing maintenance, updates, and support
2. Website Development Agreement
2.1 Initial Consultation
A thorough consultation will be conducted to understand the Client’s requirements, audience, and goals.
2.2 Project Planning
A detailed plan will outline scope, timeline, and budget.
2.3 Design
- Creation of wireframes and mockups
- Visually appealing, user-friendly design
- Review and approval process for iterations
2.4 Development
- Responsive, cross-platform website build
- Compatibility across major browsers and devices
- Project begins upon contract signing and initial payment
- Two revisions per month (non-cumulative), including layout, color, and vocabulary updates
2.5 Content Creation
- SEO-optimized content aligned with brand voice
2.6 Testing
- Functionality, performance, and bug testing
- Reasonable efforts to implement requested features; compatibility will be highly optimized, but not guaranteed across all platforms
2.7 Launch
- Deployment to live environment
- Final review and confirmation of functionality
3. Website Design Contract
3.1 Designer Responsibilities
- Deliverables include research, wireframing, prototyping, and final design
3.2 Design Process
- Iterative design with client feedback
3.3 Review & Approval
- Clear process for reviewing and approving design stages

4. Work-Made-for-Hire & Licensing
4.1 Ownership
- Service Provider retains ownership of all deliverables unless otherwise agreed
- All work is original and free of third-party claims
4.2 Licensing
- Client receives a non-exclusive, non-transferable license for intended use
4.3 Transfer of Rights
- Full ownership transfer requires separate agreement and fee
4.4 Use of Deliverables
- Deliverables may not be modified, sold, or redistributed without written consent

5. Domain Name Purchase Agreement
5.1 Selection & Registration
- Assistance with domain selection and registration
5.2 Ownership & Renewal
- Domain registered in Client’s name; renewal details provided

6. Pricing & Payment Terms
6.1 Development Fee
- One-time development fee billed before work begins
6.2 Monthly Maintenance
- Recurring monthly fee for maintenance and updates
6.3 Additional Services
- SEO, marketing, and custom development billed separately
- Out-of-scope work requires written agreement and may incur fees
6.4 Payment Schedule
- 50% of total project cost due at start
- Remaining balance due at end of development
- Optional full upfront payment
- Monthly payments may be up to 30 days late; beyond that, services may be terminated
7. Website Maintenance
7.1 Regular Updates
- Software, plugin, and theme updates
7.2 Security
- Protection against malware and hacking
7.3 Performance Optimization
- Speed and performance improvements
7.4 Content Updates
- Fresh, relevant content updates
7.5 Backup & Monitoring
- Regular backups and issue monitoring
8. Timeline
- Development Phase: 1 month from contract date
- Maintenance Phase: 1 year from launch
- Delays due to force majeure are not liable; Client agrees to pay for completed work
9. Client Responsibilities
- Provide timely content and approvals
- Communicate changes promptly
- Ensure timely payments
- Failure to respond within 30 days may result in suspension and timeline adjustment
10. Service Provider Responsibilities
- Deliver services as agreed
- Maintain website functionality and security
- Provide regular updates and communication
11. Termination
- Service Provider may terminate with 1-month notice
- Early termination by Client requires full settlement or agreed amount
- Outstanding payments must be settled, including development and maintenance fees
- Disputes resolved via informal negotiation, then binding arbitration in Tennessee
12. Confidentiality
Both parties agree to maintain confidentiality of sensitive information and materials.
13. Liability
- Service Provider is not liable for indirect or consequential damages
- Client indemnifies Service Provider for claims arising from Client-provided content
14. Enforcement & Remedies
14.1 Suspension of Services
- Services may be suspended if payment is 30+ days late
14.2 Site Takedown
- Website may be disabled if payment is 14+ days overdue
14.3 Ownership Retention
- All rights remain with Service Provider until full payment is made
14.4 Legal Fees
- Client responsible for legal and collection fees if enforcement is required
15. Governing Law
This Agreement is governed by the laws of the State of Tennessee. Any amendments must be in writing and signed by both parties.
